Legal Agreement Between You and Lyrathis LLC

Welcome to lyrathis.store (the “Website”), operated by Lyrathis LLC (“Company,” “we,” “us,” or “our”). By submitting artwork, you represent that you have the legal right to use and reproduce that artwork. Lyrathis LLC is not responsible for any copyright or trademark infringement claims arising from customer-provided designs.

Section 3: Orders and Payment

3.1 Order Acceptance: Your receipt of an order confirmation email does not signify our acceptance of your order. We reserve the right to accept, decline, or cancel any order for any reason, including but not limited to product unavailability, pricing errors, or suspicion of fraud.

3.2 Payment Processing: All payments are processed through Stripe. By providing a payment method, you represent that you are authorized to use that method. You authorize us to charge your provided payment method for the total amount of your order (including applicable taxes and shipping).

3.3 Payment Security: While Stripe employs industry-standard security measures, Lyrathis LLC is not liable for any unauthorized access to your payment information beyond our reasonable control.

3.4 Billing Information: You agree to provide current, complete, and accurate billing information. We may cancel or suspend your order if you fail to provide accurate information.

Section 4: Shipping and Delivery

4.1 Shipping Policy: Shipping timelines and costs are specified on our Shipping Policy page, which is incorporated into these Terms by reference.

4.2 Risk of Loss: Title and risk of loss for products pass to you upon our transfer of the products to the shipping carrier. We are not responsible for delays caused by carriers, weather, customs clearance, or other factors outside our control.

4.3 International Shipping: You are solely responsible for complying with all import laws, paying any customs duties, taxes, or fees, and ensuring that the products you order are legal to import into your country.

6.3 Customer Content: By submitting any content (including custom design artwork) to Lyrathis LLC, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, and distribute that content for the purpose of fulfilling your order and for our marketing purposes (anonymized). You retain ownership of your content.

Section 7: Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, LYrathis LLC PROVIDES THE WEBSITE AND ALL PRODUCTS “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

DEFECTS WILL BE CORRECTED
THE WEBSITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYrathis LLC AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR OUR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR PURCHASE OF PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Section 9: Indemnification

You agree to indemnify, defend, and hold harmless Lyrathis LLC and our officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your violation of these Terms
Your violation of any third-party rights (including intellectual property rights)
Your misuse of any product purchased from us
Any content you submit to us (including custom artwork)

Section 10: Governing Law and Dispute Resolution

10.1 Governing Law: These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

10.2 Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your purchase of products from Lyrathis LLC shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Sheridan County, Wyoming, and shall be conducted in English.

10.3 Waiver of Class Actions: YOU AGREE THAT ANY ARBITRATION OR OTHER PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10.4 Exceptions to Arbitration: Notwithstanding the foregoing, either party may bring an individual action in small claims court (if the claim qualifies) or seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.

10.5 Statute of Limitations: Any claim arising out of or relating to these Terms or your purchase of products must be filed within one (1) year after the claim arose, or it is permanently barred.

Section 12: Termination

13.5 Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation or materials.
